Welcome to SkillsForge. These Terms and Conditions govern your use of our website https://skillsforge.com (the "Website") and the training services we provide (the "Services"). By accessing our Website or engaging with our Services, you agree to be bound by these terms. If you disagree with any part of these terms, you must not access our Website or use our Services.

1. Interpretation and Definitions

In these Terms and Conditions:

• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to SkillsForge, 42 Bold Street, Liverpool, L1 4DS, United Kingdom.
• Service refers to the Website and the corporate training, professional development, and educational courses provided by SkillsForge.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
• Client refers to the organisation, company, or individual purchasing training services from SkillsForge.

2. Acknowledgement

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

3. Booking and Payment Terms

3.1 Course Bookings

Bookings for our training courses can be made via our Website, by email, or by telephone. All bookings are subject to availability. We reserve the right to refuse any booking without providing a reason.

3.2 Pricing

All prices quoted are exclusive of Value Added Tax (VAT) unless otherwise stated. We reserve the right to amend our prices at any time prior to the acceptance of a booking. The price applicable is the price published on the Website at the time the booking is confirmed by Us.

3.3 Payment

Payment must be received in full prior to the commencement of the training course, unless a prior credit agreement has been established in writing. For corporate clients, payment terms may be outlined in a separate service agreement or proposal.

We accept payment by credit/debit card, bank transfer, and cheque. If payment is not received by the due date, we reserve the right to cancel the booking and charge a cancellation fee as outlined in Section 4.

4. Cancellations and Rescheduling

4.1 Cancellation by You (The Client)

If You wish to cancel a booking, You must notify Us in writing. The following cancellation fees apply:

• Cancellation more than 28 days before the course start date: Full refund or transfer to a future date with no admin fee.
• Cancellation between 14 and 28 days before the course start date: 50% refund or transfer to a future date (subject to a 10% admin fee).
• Cancellation less than 14 days before the course start date: No refund available. Transfers may be permitted at the sole discretion of SkillsForge and are subject to a 25% rescheduling fee.

4.2 Cancellation by SkillsForge

SkillsForge reserves the right to cancel or reschedule a course at any time due to insufficient enrollment, instructor illness, or force majeure events. In the event of cancellation by Us, You will be entitled to:

• A full refund of any fees paid; or
• A transfer to an alternative course date at no extra cost.

We shall not be liable for any travel, accommodation, or other expenses incurred by You due to the cancellation or rescheduling of a course.

5. Intellectual Property

Unless otherwise indicated, the Website and all content, materials, and training resources (including text, graphics, logos, images, software, and course materials) are the intellectual property of SkillsForge or our content suppliers and are protected by copyright laws.

You may view, download, and print pages from the Website for your own personal and non-commercial use, provided that you do not modify the content and retain all copyright and other proprietary notices.

Course materials provided to Clients during training sessions are licensed for use solely within the Client organisation. They may not be reproduced, distributed, or used for commercial training purposes without the prior written consent of SkillsForge.

6. User Accounts and Security

If You create an account on our Website, You are responsible for maintaining the confidentiality of Your account and password and for restricting access to Your computer. You agree to accept responsibility for all activities that occur under Your account or password.

You must notify Us immediately via email if You become aware of any unauthorized use of Your account or any other breach of security. We will not be liable for any loss or damage arising from Your failure to comply with this section.

7. Your Privacy

Please read our Privacy Policy carefully, as it sets out how We collect, use, and protect Your personal data. By using Our Website and Services, You consent to the processing of Your data in accordance with our Privacy Policy.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall SkillsForge, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from Your use of any of the Service or any products procured using the Service.

9. Indemnification

You agree to indemnify and hold SkillsForge and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of Your breach of these Terms and Conditions or Your violation of any law or the rights of a third-party.

10. Governing Law and Jurisdiction

These Terms and Conditions and any separate agreements whereby We provide You Services shall be governed by and construed in accordance with the laws of United Kingdom. Our failure to enforce any right or provision of these Terms and Conditions will not be considered a waiver of those rights.
